Terms of Use
Effective September 2, 2026
1. About TaxCerta
TaxCerta is a software project currently operated by Ayomikun Kayode, an individual based in Alberta, Canada ("TaxCerta", "we", "us", or "our"). These Terms govern access to and use of the TaxCerta website, applications, integrations, and related services.
2. Current development status
TaxCerta is currently under active development and is being used for internal and limited testing. Features, calculations, integrations, availability, and supported tax workflows may change as the product develops. TaxCerta is not currently a certified tax-filing service and does not submit tax returns to the Canada Revenue Agency or any provincial tax authority.
3. Eligibility and authority
You may use TaxCerta only if you have the legal capacity to agree to these Terms. If you connect or provide information for a business or other organization, you represent that you are authorized to act for that organization and to permit TaxCerta to access the connected information.
4. Connected accounting services
TaxCerta may allow you to connect third-party accounting services such as QuickBooks Online. By connecting an accounting service, you authorize TaxCerta to access the information permitted by the scopes you approve. TaxCerta's initial QuickBooks integration is designed to be read-only. Your relationship with a third-party provider is also governed by that provider's own terms and policies.
5. Your responsibilities
You are responsible for:
- providing accurate information and reviewing TaxCerta outputs before relying on them;
- maintaining appropriate control of your accounts and access credentials;
- having the right to provide or connect any business, accounting, or personal information you make available; and
- using TaxCerta only for lawful purposes and in a way that does not interfere with the service or other systems.
6. No professional advice or filing guarantee
TaxCerta is technology, not a substitute for professional accounting, tax, financial, or legal advice. Outputs may assist with review, reconciliation, preparation, and explanation, but you remain responsible for decisions, filings, elections, classifications, and information submitted to tax authorities. During development, TaxCerta results should be reconciled against trusted accounting records and certified tax software or qualified professional advice where appropriate.
7. Intellectual property
TaxCerta and its software, branding, interfaces, documentation, and original content are owned by the operator or licensed to the operator. These Terms do not transfer ownership of TaxCerta intellectual property to you. You retain ownership of information and records that you lawfully provide or connect.
8. Third-party services
TaxCerta relies on third-party services for functions such as accounting connectivity, cloud hosting, databases, and security. Those services may change, become unavailable, or operate under their own terms. TaxCerta is not responsible for a third party's independent acts or services.
9. Availability and changes
We may modify, suspend, restrict, or discontinue any part of TaxCerta, particularly while the service remains in development. We may also add or remove supported providers, jurisdictions, features, or workflows.
10. Disclaimer of warranties
To the maximum extent permitted by law, TaxCerta is provided on an "as is" and "as available" basis. We do not guarantee that the service will be uninterrupted, error-free, complete, or suitable for every accounting or tax situation. Nothing in these Terms excludes rights or warranties that cannot legally be excluded.
11. Limitation of liability
To the maximum extent permitted by law, the TaxCerta operator will not be liable for indirect, incidental, special, consequential, or punitive damages, or for losses arising from decisions made without appropriate review of TaxCerta outputs. Nothing in these Terms limits liability that cannot legally be limited.
12. Suspension and termination
Access may be suspended or terminated if necessary to protect TaxCerta, connected systems, users, or data; to comply with law; or in response to misuse of the service. You may stop using TaxCerta and revoke a connected provider's authorization at any time through that provider's available controls.
13. Changes to these Terms
We may update these Terms as TaxCerta evolves. The effective date above will be updated when material changes are published. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
14. Governing law
These Terms are governed by the laws of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law rules, except where applicable law requires otherwise.
15. Contact
Legal inquiries may be directed to the TaxCerta operator, Ayomikun Kayode, Edmonton, Alberta, Canada, through the support contact made available by TaxCerta.
These Terms are written for TaxCerta's current development stage and will be reviewed before external commercial use.
